Territorial application of these terms

This master document contains three regional versions of the Mentor consumer subscription terms. The regional version that applies to a subscription is determined by the territory in which that subscription was purchased. This territorial application section forms part of the contract.

For this purpose, the territory of purchase is normally the country associated with the billing address and purchase record used at checkout. Temporary travel after purchase does not, by itself, change the regional version that applies to that subscription.

Territory  of purchase                                                           Applicable  subscription terms

United States                                                                                           Part C - Subscription Terms for Consumers in the US

A Member State of the European Union                                               Part B - Subscription Terms for Consumers in the EU

United Kingdom or any other country outside the EU  and US           Part A - Subscription Terms for Consumers in the UK (default terms for other territories)

Mandatory local consumer law. The allocation above selects the contractual version of these Subscription Terms. It does not exclude or reduce any mandatory consumer protection that applies toyou under the law of your country or state and cannot lawfully be waived. If such a mandatory rule conflicts with the applicable Part, the mandatory rule prevails to the extent of the conflict.

Separate subscriptions. If you make a new purchase after moving to another territory, the regional terms applicable to that new purchase may differ from the terms governing an earlier subscription.

Part A - Subscription Terms forConsumers in the UK

These are also the default contractual terms for consumer purchases made in countries outside the European Union and the United States, subject to mandatory local consumer law.

These Subscription Terms explain the terms that apply when you buy a paid subscription to Mentor.

They form a contract between you and SurgEase Innovations Limited, a company registered in England and Wales under company number 10051324, with registered office at Burlington House, 1-13 York Road, Maidenhead, Berks, SL6 1SQ, United Kingdom, and VAT registration number 302514650 ("we", "us" or "our").

For contractual allocation under the Mentor Master Consumer Subscription Terms, these UK Subscription Terms apply where the territory of purchase is the United Kingdom or any country outside the European Union and the United States. They apply to consumers, meaning individuals acting wholly or mainly for purposes outside their trade, business, craft or profession. Mandatory consumer rights that apply in another country are preserved as stated in section 14.3.

If you purchase Mentor mainly for business or professional purposes, separate business terms may apply.

These Subscription Terms should be read together with our Terms of Use, our Privacy Policy, and the plan information and order summary shown to you before you subscribe.

If there is a conflict, any specific terms expressly stated for your subscription plan or order take priority for that plan or order; these Subscription Terms take priority in relation to subscriptions, billing, renewals, cancellation and refunds; and the Terms of Use apply to your general use of Mentor.

When you place an order, you will be asked to confirm your agreement to these Subscription Terms. A binding subscription contract is formed when we accept your order and confirm or activate your subscription.

We will provide confirmation of your subscription by email or another durable format that you can keep.

‍

1. Your subscription
1.1 Your plan

A Mentor subscription gives you access to the paid features, functionality and storage allowance included in the plan you select for as long as your subscription remains active.

Before you subscribe, we will show you:

·  the plan you are buying;

·  its main features;

·  its storage allowance;

·  the subscription price;

·  whether billing is monthly, annual or on another disclosed basis;

·  whether a free or reduced-price trial applies;

·  when your first payment will be taken;

·  how and when the subscription renews; and

·  how you can cancel.

The plan information and order summary shown to you before purchase form part of your subscription contract.

1.2 Free functionality

Some Mentor functionality may be available without a paid subscription.

For example, a person invited by a Mentor customer to view content or participate as an assessor may be able to use the relevant viewing or assessment functionality without purchasing their own paid subscription.

A paid subscription unlocks the functionality included with the relevant plan, which may include storage, uploading, content creation, editing, exporting and other features described on the subscription page.

1.3 Single-user subscription

Unless we expressly state otherwise, each paid subscription is a single-user subscription assigned to one Mentor account and one individual account holder.

A subscription cannot be transferred between users or used to give another person the paid functionality associated with your account.

The rules governing account sharing and authorised access are set out in our Terms of Use.

Inviting another person to participate through Mentor's authorised assessment, review, viewing or collaboration functionality does not amount to sharing your subscription.

1.4 Changing your plan

Where Mentor allows you to change between subscription plans, we will show you the new plan, price, key features and when the change will take effect before you confirm it. An upgrade may take effect immediately and a downgrade may take effect at the next renewal, or at another time clearly disclosed to you. Any prorated charge, credit or change to your billing cycle will be shown before you confirm the change. Nothing in this section limits your statutory consumer rights.

2. Country of subscription and international use
2.1 Country of sign-up

Your subscription is associated with the country or territory in which you sign up, as determined from information such as your billing address, payment information and other reasonable location information.

Your subscription should be used primarily in the country or territory in which you subscribed.

Temporary travel outside that country does not by itself breach these Subscription Terms, provided Mentor is lawfully available in the country you are visiting.

2.2 Moving country

If you permanently move to another country or begin using Mentor predominantly from another country, you may need to update your country, billing details or subscription.

Plans, prices, currencies, taxes, payment methods and features may differ between countries.

Where reasonably necessary, we may require you to cancel your existing subscription and subscribe again in your new country.

We will not change the price of a billing period that you have already paid for merely because you move country.

2.3 Location information

You must provide accurate information concerning your country of residence and billing location.

You must not deliberately misrepresent your location in order to obtain:

·  pricing that is not available to you;

·  an incorrect tax treatment;

·  a promotional offer for which you are noteligible; or

·  access to a subscription that is not offered in your country.

3. Free trials and introductory offers
3.1 Trial information

We may offer free trials, reduced-price introductory periods or other promotional subscriptions.

Before you subscribe, we will tell you:

·  how long the trial or introductory period lasts;

·  what, if anything, you will pay during it;

·  the price that will apply afterwards;

·  when the first full subscription payment will be taken;

·  the billing frequency after the trial; and

·  how to cancel before the next payment becomes due.

3.2 Payment method

We may require a valid payment method when a trial starts even if no payment is immediately due.

Unless otherwise stated at checkout, we will not charge the standard subscription price during a free trial.

3.3 Automatic conversion to a paid subscription

Unless you cancel before the trial or introductory period ends, your subscription will automatically continue as a paid subscription.

We will then charge your payment method the price disclosed to you before you started the trial. Your subscription will continue to renew until cancelled.

3.4 Trial reminder

Where a free or introductory trial will automatically convert into a paid subscription, we will send you a reminder before the conversion where required by law and in accordance with any commitment we make to you when you subscribe.

The reminder will explain the upcoming payment and how to cancel.

3.5 Cooling-off period and trials

If UK consumer law applies, your initial statutory cooling-off period generally starts when you enter into the subscription contract, including where the subscription begins with a free trial. It does not normally start again merely because the first paid billing period begins.

Your statutory rights are explained further in section 7.

3.6 Eligibility

We may limit trials or promotional offers to customers who satisfy specified eligibility conditions. For example, we may limit a particular introductory offer to customers who have not previously used the same offer.

Any material eligibility conditions will be disclosed before you accept the offer.

3.7 Promotions

Promotional offers may be subject to availability periods, country restrictions, eligibility requirements, particular plans or billing periods, and restrictions on combining promotions.

Unless stated otherwise, promotional benefits cannot be exchanged for cash.

When a promotional price ends, your subscription will continue at the price disclosed to you when you accepted the offer unless you cancel before that price becomes payable.

4. Price, tax and currency
4.1 Price

The subscription price and billing period willbe clearly displayed before you place your order.

The final checkout step will make clear thatplacing your order creates an obligation to pay.

4.2 Taxes and mandatory charges

The total price payable will be shown to you before you complete your order and will include applicable VAT and other mandatory taxes or charges where they can reasonably be calculated in advance.

Where tax depends on information such as your country or billing address, the price may be updated after you provide that information but before you confirm your order.

We will not deliberately add an unavoidable fee after you have agreed to purchase where that charge should have been disclosed beforehand.

SurgEase Innovations Limited's UK VAT registration number is 302514650.

4.3 Currency

Your subscription will be charged in the currency shown to you at checkout.

Where supported, the currency offered to you may depend on your country or billing location. Where local-currency billing is unavailable, we may charge in GBP or another currency clearly disclosed before purchase.

Your bank or card issuer may apply its own exchange rate or foreign transaction charge. We do not control charges imposed independently by your payment provider.

5. Payment
5.1 Payment provider

Subscription payments may be processed on our behalf by Stripe or by another payment service provider selected by us from time to time. We may appoint, replace or change our payment service provider at any time, without needing your consent, for operational, commercial, technical, security or other legitimate business reasons. A change of payment provider will not by itself increase your subscription price or reduce your statutory rights. If a change requires you to provide or re-enter payment details, authenticate a payment method or take another reasonable step so that recurring payments can continue, we will tell you what you need to do.

We do not normally receive or store your full payment-card number.

We may receive limited payment information such as the payment method type, expiry information, the final digits of a card and payment-provider transaction references.

5.2 Authority to charge

By providing a payment method, you confirm that you are authorised to use it.

You authorise us and our payment provider to charge it for:

·  your initial subscription payment;

·  recurring renewal payments; and

·  any other payment you expressly agree to make.

5.3 Keeping payment information current

You are responsible for keeping your payment information reasonably up to date.

If your payment method expires, is declined or otherwise becomes unavailable, we or our payment provider may ask you to update it. Failed payments are dealt with under section 10.

5.4 Purchases through third parties

If we make Mentor available through an app store, reseller or other third-party seller or billing platform and you purchase your subscription through that third party, the third party may be responsible for collecting payment and may control billing administration, cancellation and refunds under its terms. Where this applies, the purchase flow will identify the relevant third party. These Subscription Terms continue to govern your Mentor subscription except to the extent that the third party's terms necessarily govern billing or applicable law provides otherwise.

5.5 Subscription and billing communications

We may send essential subscription and billing communications to the email address associated with your Mentor account, display them within Mentor, or use another communication method permitted by law. These may include trial-conversion reminders, renewal notices, payment-failure messages, price-change notices, changes to these Subscription Terms and cancellation confirmations. Opting out of marketing communications does not prevent us from sending essential service, billing or legally required notices.

6. Automatic renewal
6.1 Your subscription automatically renews

Mentor subscriptions automatically renew unless you cancel them.

At the end of each billing period, your subscription will renew for another billing period and the payment method associated with your account will be charged.

For example:

·  a monthly plan normally renews each month; and

·  an annual plan normally renews each year.

Your billing frequency will be shown before you subscribe.

6.2 Renewal price

Unless we have notified you of a price change under section 12, the amount charged at renewal will be the subscription price applicable immediately before that renewal.

We will not retrospectively increase the price of a billing period that you have already paid for.

6.3 Renewal notices

We will provide any renewal reminders or notices required by applicable law.

A legally required notice will contain the information required by that law, which may include the renewal date, the amount payable, the applicable billing period and instructions for cancelling.

We may also send additional courtesy reminders.

6.4 Preventing renewal

You can prevent your next renewal by cancelling your subscription before it renews. Unless we expressly tell you otherwise, you may cancel at any point before the renewal takes place.

7. Statutory cooling-off rights
7.1 UK consumer cancellation right

If you are a consumer protected by UK consumer law, you will normally have a 14-day statutory right to cancel a distance contract, subject to the particular rules applicable to the service or digital content being supplied.

This statutory cooling-off right is separate from your contractual right to prevent future subscription renewals.

7.2 Starting Mentor immediately

Mentor is normally made available shortly after you subscribe. Where required by law, we will ask you to expressly request or consent to Mentor being supplied during your statutory cooling-offperiod.

7.3 Services supplied during the cooling-off period

Where:

1. you expressly ask us to begin supplying a service during the cooling-off period;

2. you subsequently exercise a statutory cancellation right during that period; and

3. applicable law allows us to charge for the service already supplied,

we may deduct or charge an amount proportionate to the service supplied before you told us that you wished to cancel.

We will only do this where the legal conditions permitting such a charge have been met.

7.4 Digital content

Some Mentor functionality may constitute digital content for consumer-law purposes.

Where the law permits a statutory cancellation right relating to digital content to be lost once supply begins, we will onlyrely on that rule where we have first obtained any express consent and acknowledgement required by law and provided any required confirmation.

7.5 How to exercise a statutory cancellation right

You may exercise a statutory cancellation right by clearly telling us that you wish to cancel.

You may do this using any cancellation functionality we provide for this purpose, by emailing support@surgease.co.uk, or by using the model cancellation form at the end of these Subscription Terms.

You do not have to use the model form.

7.6 Refund following statutory cancellation

Where applicable law requires us to refund a payment following statutory cancellation, we will do so without undue delay and within the applicable statutory deadline.

Where the UK Consumer Contracts Regulations require reimbursement within 14 days, we will comply with that period.

Unless you expressly agree otherwise or the law allows another method, a refund will normally be made to the payment method originally used. We will not charge you a fee for providing a refund to which you are legally entitled.

7.7 Additional statutory subscription rights

Applicable law may provide additional cancellation or cooling-off rights following events such as conversion from a trial to a paid subscription, renewal of a subscription, a material change or another prescribed subscription event.

Where such a right applies to you, we willprovide any notice, cancellation facility and refund required by law.

7.8 Your rights are not excluded

Nothing in these Subscription Terms limits any mandatory statutory right or remedy you have as a consumer.

8. Cancelling your subscription
8.1 You can cancel at any time

You may turn off automatic renewal at anytime.

You can normally do this through My Account > close account, or the equivalent subscription-management facility available in Mentor.

If that facility is unavailable, contact support@surgease.co.uk.

8.2 Easy cancellation

Where you entered into the subscription online, we will provide an online means of cancellation where required by applicable law.

We will not deliberately impose unnecessary steps designed to make cancellation unreasonably difficult.

8.3 When ordinary cancellation takes effect

Unless you are exercising a statutory right to cancel immediately, cancellation normally takes effect at the end of your current paid billing period.

Until then:

·  your paid subscription remains active;

·  you continue to receive the features included in the plan; and

·  you will not be charged for another billing period after the cancellation takes effect.

8.4 Cancellation confirmation

We will confirm cancellation by email or another durable medium. The confirmation will state when your paid subscription is due to end.

8.5 Deleting your account

If you request permanent deletion of the Mentor account associated with an active subscription, we will ensure that future subscription renewals are cancelled as part of the account-deletion process.

Permanent deletion does not itself create aright to a refund for a billing period already paid for unless applicable law provides otherwise.

Before completing permanent deletion, we will tell you what will happen to your subscription and stored content.

9. What happens when your subscription ends
9.1 Paid functionality

When your paid subscription ends, your entitlement to the paid features associated with that plan ends.

Your account may move to a free level of service if one is available. You may continue to have access to functionality that we offer without payment.

9.2 Restrictions after subscription expiry

Once your paid subscription ends, you may lose the ability to:

·  upload new content;

·  create or edit subscription-only content;

·  use paid storage;

·  export content using paid export functionality; and

·  use other paid features.

9.3 Existing content

We may retain content held in paid Mentor storage for a limited period after your paid subscription ends so that you can resubscribe or retrieve content where that functionality is available.

The applicable retention period will be stated in Mentor, our Privacy Policy or other information made available to you. During that period, content may be placed into a restricted or read-only state.

If you resubscribe during the retention period, access to retained content may be restored subject to the storage allowance and functionality of your new plan.

9.4 Exporting content

Where an export facility is available, were commend exporting any content you wish to retain before your subscription ends.

We will not deliberately make an otherwise available export facility harder to use because you have chosen to cancel.

9.5 Deletion

After the applicable retention period expires, we may delete content associated with expired paid storage.

Deletion from active systems may not result in immediate deletion from backups or disaster-recovery systems. Backup copies may remain for a limited period before being overwritten or deleted in accordance with our security and retention procedures.

Our handling of personal data is described in our Privacy Policy.

10. Failed payments
10.1 If we cannot collect payment

If a payment fails, we or our payment provider may contact you and ask you to update your payment method.

10.2 Payment retries

We may make further reasonable attempts to collect an outstanding payment using the payment method associated with the subscription.

10.3 Grace period

We may allow paid access to continue for a limited period while payment is retried. Any grace period we provide does not waive our right to collect the amount properly due.

10.4 Ending paid access

If payment remains unsuccessful, we may suspend paid functionality or allow the subscription to end.

We will give any notice required by applicable law. If the subscription ends, section 9 applies.

10.5 Incorrect charges

If you believe you have been charged incorrectly, contact support@surgease.co.uk.

This does not affect any rights you have through your payment provider or under applicable law.

11. Refunds and statutory remedies
11.1 General policy

Except where these Subscription Terms or applicable law provide otherwise, we do not generally refund subscription fees simply because you stop using Mentor or change your mind after the applicable cancellation period has expired.

Ordinary cancellation prevents future renewal rather than generating a refund for the remaining part of a current paid billing period.

11.2 When refunds or other remedies may be available

We will provide a refund, price reduction orother remedy where required by law. This may include circumstances where:

·  you validly exercise a statutory cooling-offright;

·  Mentor has not been supplied in accordance with your statutory consumer rights;

·  we charge you after your subscription should have been cancelled;

·  we terminate a prepaid subscription for reasons that are not your fault;

·  a material detrimental change gives you alegal refund right; or

·  another statutory remedy applies.

11.3 Consumer rights

Where UK consumer law applies, services must be provided with the level of care and skill required by law and applicable digital content is subject to statutory requirements.

Depending on the circumstances, remedies can include repeat performance, repair or replacement, price reduction, refund or damages.

Nothing in these Subscription Terms removes or restricts those rights.

12. Changes to subscriptions, prices and these terms
12.1 Price changes

We may change subscription prices for future billing periods. A price increase will not apply retrospectively to a billing period already paid for.

12.2 Notice of price increases

If we increase the price applying to your existing subscription, we will give you at least 30 days' advance notice, or any longer period required by law, before charging the increased price.

The notice will explain your existing price,your new price, when the new price will take effect and how to cancel before it applies.

If there is not enough time to provide the required notice before your next renewal, the increased price will not apply until a later renewal.

12.3 Other prices and promotions

We may offer different plans, promotional prices, introductory offers, discounts or regional prices to other customers.

The availability of another offer does not automatically change the price of your existing subscription.

12.4 Material changes to a paid plan

Mentor will develop over time. We may make reasonable changes to subscription functionality where necessary to improve Mentor, update technology, respond to legal requirements, maintain security, replace outdated functionality or introduce equivalent or improved functionality.

We will not use this provision as an unrestricted right to remove a core paid feature that formed a material part of the subscription you purchased.

Where we make a material detrimental change during a period you have already paid for, we will provide any notice, cancellation right, proportionate refund or other remedy required by law and, where appropriate, by these Subscription Terms.

12.5 Discontinuing a paid plan or Mentor

If we permanently discontinue the paid Mentor service or your paid plan during a period you have already paid for, and we do not make available a substantially similar replacement that you can use for the remainder of that period, we will provide a proportionate refund for the unused prepaid period unless the subscription ends because of your breach, non-payment or another reason for which a refund is not required by law.

Experimental and beta features are dealt with under the Terms of Use.

12.6 Changes to these Subscription Terms

We may update these Subscription Terms where reasonably necessary because of changes in law or regulation, changes to subscription or payment processes, security requirements, changes to Mentor, ora need to make these terms clearer.

If a change materially disadvantages you, we will normally give you at least 30 days' advance notice by email, through Mentor, or both. The notice will explain the change and the date on which it will take effect.

That notice period may not apply where an immediate change is reasonably necessary to comply with law, address an urgent security issue, prevent fraud or abuse, or respond to another urgent situation where advance notice is impracticable.

We will not retrospectively remove a right or entitlement that you have already accrued.

If applicable law requires us to give you a right to cancel or obtain another remedy because of the change, the notice will explain how to exercise that right.

13. Complaints and customer support

If you have a question or complaint concerning your subscription, billing, renewal, cancellation, a refund or these Subscription Terms, contact us at support@surgease.co.uk.

Please provide enough information for us to identify your account and investigate the issue.

We will investigate complaints fairly and aim to respond within a reasonable period.

Where applicable law requires us to tell you about an alternative dispute-resolution service or another complaints mechanism, we will provide the required information.

14. Governing law and courts
14.1 Governing law

These Subscription Terms are governed by the laws of England and Wales.

If you live elsewhere, this choice of law does not deprive you of any mandatory consumer protection that applies to you under the law of your country of residence.

14.2 Courts

Nothing in these Subscription Terms prevents you from bringing proceedings in a court that applicable consumer law entitles you to use.

If you live in England or Wales, you and we may bring proceedings in the courts of England and Wales. If you live elsewhere, you may also have rights to bring proceedings in the courts of the country where you live.

14.3 Local mandatory law

Where a provision of these Subscription Terms conflicts with a mandatory consumer right applying to you, that mandatory right takes priority to the extent of the conflict.

15. Other terms
15.1 Transfer by us

We may transfer our rights and obligations under your subscription contract to another organisation, for example as part of a sale or reorganisation of our business.

We will ensure that any transfer does not reduce your contractual rights and will provide notice where required by law.

15.2 Transfer by you

Your individual subscription is personal to you and may not be transferred to another person unless we agree otherwise.

15.3 Severability

If a court or competent authority determines that part of these Subscription Terms is unlawful or unenforceable, there maining provisions will continue to apply.

15.4 Delay in enforcement

If we do not immediately enforce a contractual right, that does not mean we permanently give up that right.

15.5 Third-party rights

Except where these Subscription Terms expressly state otherwise, a person who is not a party to the subscription contract has no right under the Contracts (Rights of Third Parties) Act 1999 toenforce it.

This does not affect a right or remedy that exists independently under law.

Part B - Subscription Terms forConsumers in the EU

Applies where the territory of purchase is a Member State of the European Union. Mandatory consumer protections based on habitual residence continue to apply.

These Subscription Terms explain the terms that apply when you buy a paid subscription to Mentor.

They form a contract between you and SurgEase Innovations Limited, a company registered in England and Wales under company number 10051324, with registered office at Burlington House, 1-13 York Road, Maidenhead, Berks, SL6 1SQ, United Kingdom, and UK VAT registration number 302514650 ("we", "us" or "our").

For contractual allocation under the Mentor Master Consumer Subscription Terms, these EU Subscription Terms apply where the territory of purchase is a Member State of the European Union and you are an individual acting for purposes outside your trade, business, craft or profession. Any mandatory consumer protections that apply because of your habitual residence continue to apply and are not excluded by this allocation rule.

If you purchase Mentor mainly for business or professional purposes, separate business terms may apply.

These Subscription Terms should be read together with our Terms of Use, our Privacy Policy, and the plan information and order summary shown to you before you subscribe.

If there is a conflict, any specific terms expressly stated for your subscription plan or order take priority for that plan or order; these Subscription Terms take priority in relation to subscriptions, billing, renewals, cancellation, with drawal and refunds; and the Terms of Use apply to your general use of Mentor.

When you place an order, you will be asked to confirm your agreement to these Subscription Terms. A binding subscription contract is formed when we accept your order and confirm or activate your subscription.

We will provide confirmation of your subscription and the information required by applicable consumer law by email or another durable medium that you can keep.

Where applicable law requires contractual or pre-contract information to be provided in a particular language, we will provide that information as required.

1. Your subscription
1.1 Your plan

A Mentor subscription gives you access to the paid features, functionality and storage allowance included in the plan you select for as long as your subscription remains active.

Before you subscribe, we will show you:

· the plan you are buying;

· its main features, functionality and relevant compatibility or interoperability information;

· its storage allowance;

· the total subscription price, including applicable taxes where required;

· whether billing is monthly, annual or on another disclosed basis;

· whether a free or reduced-price trial applies;

· when your first payment will be taken;

· how and when the subscription renews; and

· how you can cancel or exercise any applicable withdrawal right.

1.4 Changing your plan

Where Mentor allows you to change between subscription plans, we will show you the new plan, price, key features and effective date before you confirm the change. Any prorated charge, credit or change to the billing cycle will be disclosed before confirmation. Nothing in this section limits rights provided by applicable EU or national consumer law.

The rules governing account sharing and authorised access are set out in our Terms of Use. Inviting another person through Mentor's authorised assessment, review, viewing or collaboration functionality does not amount to sharing your subscription.

2. Country of subscription and use within the EU
2.1 Subscription country

Your subscription is associated with the EU Member State in which you habitually reside when you subscribe, using information such as your billing address and other information reasonably needed for tax, payment and service administration.

You must provide accurate information aboutyour residence and billing location. Your subscription country should continue to reflect the country in which you habitually reside.

2.2 Cross-border and temporary use

You may use Mentor while temporarily travelling or staying in another EU Member State where Mentor is lawfully available and technically accessible.

We will not block or restrict access, apply different general conditions of access, or discriminate in relation to an accepted payment method solely because of your nationality, place of residence or location where doing so would be prohibited by applicable EU law.

2.3 Moving to another country

If you permanently move to another country or your habitual residence changes, you must update your account and billing information where reasonably required.

Plans, currencies, taxes, payment methods and lawful regional offers may differ. Where reasonably necessary, we may require you to move to a subscription available in your new country at your next renewal. We will not change the price of a billing period already paid for solely because you move country.

2.4 Accurate location information

You must not deliberately provide false residence or billing information to obtain an incorrect tax treatment, apromotion for which you are not eligible, or access to a service that cannot lawfully be supplied to you.

3. Free trials, introductory offers and promotions
3.1 Trial information

We may offer free trials, reduced-price introductory periods or other promotional subscriptions. Before you subscribe, we will tell you the duration, what you will pay during the offer, the price that applies afterwards, when the first full payment will be taken, the billing frequency, and how to cancel before the next payment becomes due.

3.2 Payment method

We may require a valid payment method when a trial starts even if no payment is immediately due. Unless otherwise stated at checkout, we will not charge the standard subscription price during a freetrial.

3.3 Automatic conversion

Unless you cancel before the trial or introductory period ends, your subscription will automatically continue as a paid subscription and we will charge the payment method on file at the priced is closed before you accepted the offer. The subscription will then continue to renew until cancelled.

3.4 Reminders

We will provide reminders before trial conversion or renewal where required by the law of your EU Member State or where we have expressly committed to do so. A reminder will explain the upcoming payment and how to cancel.

3.5 Withdrawal period and trials

Where you have a statutory 14-day withdrawal right, the withdrawal period generally begins when the subscription contract is concluded, including where the subscription starts with a free trial. It does not normally begin again merely because the first paid billing period starts, unless applicable national law provides otherwise.

3.6 Eligibility and promotions

We may limit trials or promotional offers by objective eligibility criteria, availability periods, plans or other conditions disclosed before you accept the offer. Promotional benefits cannot be exchanged for cash unless we expressly state otherwise.

When a promotional price ends, your subscription will continue at the price disclosed before you accepted the offer unless you cancel before that price becomes payable.

4. Price, VAT and currency
4.1 Total price

The total subscription price and billing period will be clearly displayed before you place your order. The final checkout step will make clear that placing the order creates an obligation topay.

4.2 VAT and mandatory charges

The total price shown before purchase willinclude applicable VAT and other mandatory taxes or charges where required by applicable law.

Where VAT or another tax depends on your Member State, billing address or other information you provide, the price maybe updated after you provide that information but before you confirm your order.

SurgEase Innovations Limited is registeredfor VAT in the United Kingdom under VAT number 302514650. Any EU VAT registration or identification information required for a particular transaction will be provided on the applicable invoice or receipt where requiredby law.

4.3 Currency

Your subscription will be charged in the currency shown at checkout. Where local-currency billing is unavailable, we may charge in another currency clearly disclosed before purchase.

Your bank, card issuer or payment provider may apply its own currency conversion or other charges. We do not control charges imposed independently by your payment provider.

5. Payment
5.1 Payment provider

Subscription payments may be processed on our behalf by Stripe or by another payment service provider selected by us from time to time.

We may appoint, replace or change our payment service provider without needing your consent for operational, commercial, technical, security or other legitimate business reasons. A change of payment provider will not by itself increase your subscription price or reduce your statutory rights.

If changing payment provider requires you to re-enter payment details, authenticate a payment method or take another reasonable step so that recurring payments can continue, we will tell you whatyou need to do.

We do not normally receive or store your full payment-card number. We may receive limited payment information such as the payment method type, expiry information, the final digits of a card and payment-provider transaction references.

5.2 Authority to charge

By providing a payment method, you confirm that you are authorised to use it and authorise us and our payment provider to charge it for your initial subscription payment, recurring renewal payments and any other payment you expressly agree to make.

5.3 Payment methods

We may decide which payment methods and payment brands we accept. Within an accepted payment method, we will not apply discriminatory payment conditions based on nationality, residence, the location of a payment account or the place of establishment of the payment service provider where applicable EU law prohibits us from doing so.

5.4 Keeping payment information current

You are responsible for keeping your payment information reasonably up to date. If your payment method expires, is declined or otherwise becomes unavailable, we or our payment provider may ask you to update it.

5.5 Purchases through third parties

If we make Mentor available through an appstore, reseller or other third-party seller or billing platform and you purchase through that third party, the third party may be responsible for collecting payment and may control billing administration, cancellation and refunds under its terms. Where this applies, the purchase flow will identify the relevant third party. These Subscription Terms continue to govern your Mentor subscription except to the extent that the third party's terms necessarily govern billing or mandatory consumer law provides otherwise.

5.6 Subscription and billing communications

We may send essential subscription and billing communications to the email address associated with your Mentor account, display them within Mentor, or use another communication method permitted by applicable law. These may include trial-conversion reminders, renewal notices, payment-failure messages, price-change notices, notices of modifications, changes to these Subscription Terms and cancellation or withdrawal confirmations. Opting out of marketing communications does not prevent us from sending essential service, billing or legally required notices.

6. Automatic renewal
6.1 Automatic renewal

Mentor subscriptions automatically renew unless you cancel them.

At the end of each billing period, your subscription will renew for another billing period and the payment method associated with your account will be charged. Your billing frequency will beshown before you subscribe.

6.2 Renewal price

Unless we have notified you of a lawful price change under section 13, the amount charged at renewal will be the subscription price applicable immediately before that renewal. We will not retrospectively increase the price of a billing period already paid for.

6.3 Renewal notices

We will provide any renewal reminder ornotice required by the law applicable in your EU Member State. Any legally required notice will contain the information required by that law, which may include the renewal date, amount payable, billing period and cancellation instructions.

6.4 Preventing renewal

You can prevent your next renewal by cancelling before the renewal takes place. Any longer cancellation period, reminder requirement or other protection required by the law of your Member State will continue to apply.

7. EU right of withdrawal
7.1 14-day right of withdrawal

If you are an EU consumer entering into adistance contract, you will generally have 14 days to withdraw from the subscription contract without giving a reason, subject to the exceptions andconditions of applicable consumer law.

For a service contract, the withdrawal period generally expires 14 days after the day the contract is concluded. Different rules may apply to particular digital content or where national law gives you additional rights.

7.2 Starting Mentor during the withdrawal period

Mentor is normally made available shortly after you subscribe. Where required by law, we will ask you to expressly request that performance begins during the withdrawal period.

If you withdraw after expressly requesting that a service begins during the withdrawal period, we may charge or deduct an amount proportionate to the service supplied before you told us you wished to withdraw, but only where applicable law permits this and the required information and consent requirements have been satisfied.

7.3 Full performance and digital content

Where applicable law permits the right of withdrawal to end after a service has been fully performed, we will only rely on that rule where all required conditions, including any prior express consent and acknowledgement, have been satisfied.

If any part of Mentor is treated as digital content not supplied on a tangible medium, we will only rely on loss of the withdrawal right once supply begins if we have obtained the prior express consent and acknowledgement required by law and provided the required confirmation.

7.4 How to withdraw

To exercise your right of withdrawal, you must tell us clearly that you wish to withdraw from the subscription contract before the withdrawal period expires.

You may do this using any withdrawal facility we provide, by emailing support@surgease.co.uk, or by using the model withdrawal form in the Appendix. You do not have to use the model form.

7.5 Refund following withdrawal

Where you validly withdraw, we will reimburse payments due to be refunded without undue delay and, where the EU Consumer Rights Directive or its national implementation applies, no later than 14 days after we are informed of your decision to withdraw.

Unless you expressly agree otherwise and the law permits it, we will use the same payment method used for the original transaction and will not charge you a refund fee.

8. Cancelling automatic renewal
8.1 You can cancel at any time

You may turn off automatic renewal at any time. You can normally do this through My Account -> Subscription ->Manage billing, or the equivalent subscription-management facility available in Mentor. If that facility is unavailable, contact support@surgease.co.uk.

8.2 Effective date of ordinary cancellation

Unless you are exercising a statutory rightthat provides for earlier termination, ordinary cancellation normally takes effect at the end of your current paid billing period. Until then, your paid subscription remains active and you will not be charged for another billing period after cancellation takes effect.

8.3 Confirmation

We will confirm cancellation by email or another durable medium and tell you when your paid subscription is due to end.

8.4 Account deletion

If you request permanent deletion of the Mentor account associated with an active subscription, we will ensure that future subscription renewals are cancelled as part of the account-deletion process. Account deletion does not itself create a right to a refund for a period already paid for unless applicable law provides otherwise.

9. Supply, conformity, updates and EU digital-service rights
9.1 Supply

We will supply Mentor without undue delay after the contract is formed unless we agree a different time with you. If we fail to supply Mentor, you may have the right to require supply and, in the circumstances provided by applicable law, to terminate the contract.

9.2 Conformity

Where EU rules on digital content and digital services apply, Mentor must conform to the subscription contract and to the objective requirements imposed by applicable law.

This includes, where relevant, requirements relating to description, functionality, compatibility, interoperability, accessibility, continuity, security, quality, performance, agreed purposes andthe features a consumer can reasonably expect for a digital service of the sametype.

9.3 Updates

We will inform you of and supply updates, including security updates, that are necessary to keep Mentor in conformity for the period required by applicable law.

If an update requires action by you, we will provide reasonable information about the update and any consequences of failing to install or apply it. We are not responsible for a lack of conformity caused solely by your failure to install an update within a reasonable time where the legal conditions for that exclusion are satisfied.

9.4 Remedies for lack of conformity

If Mentor does not conform to the contractor applicable legal requirements, you may have the right to have Mentor brought into conformity free of charge, within a reasonable time and without significant inconvenience.

Where bringing Mentor into conformity is impossible or disproportionate, is not completed within a reasonable time, the lack of conformity reappears, the lack is sufficiently serious, or another legal condition is met, you may have the right to a proportionate price reduction or to terminate the contract.

Nothing in these Subscription Terms excludes or reduces those statutory remedies.

10. What happens when your subscription ends
10.1 Paid functionality

When your paid subscription ends, your entitlement to the paid features associated with that plan ends. Your account may move to a free level of service if one is available.

10.2 Restrictions after expiry

Once your paid subscription ends, you may lose the ability to upload new content, create or edit subscription-onlycontent, use paid storage, export content using paid export functionality, oruse other paid features.

10.3 Existing content and retrieval

We may retain content held in paid Mentor storage for a limited period after your subscription ends so that you can resubscribe or retrieve content where that functionality is available. The applicable retention period will be stated in Mentor, our Privacy Policy or other information made available to you.

Where EU consumer law requires us, after termination of a digital-service contract, to make non-personal content that you provided or created while using Mentor available to you, we will allow you to retrieve that content free of charge, without hindrance from us, within a reasonable time and in a commonly used and machine-readable format where required by law. Statutory exceptions may apply, including for content that has no utility outside Mentor, relates only to your activity within Mentor, has been aggregated with other data and cannot be disaggregated without disproportionate effort, or was generated jointly with others who can continue to use it.

Our handling of personal data after termination is governed by the GDPR, applicable national data-protection law and our Privacy Policy.

10.4 Deletion

After the applicable retention period expires, we may delete content associated with expired paid storage, subject to any statutory retrieval right and our legal obligations. Deletion from active systems may not result in immediate deletion from backups or disaster-recovery systems, which may be retained for a limited period under our security and retention procedures.

11. Failed payments
11.1 If we cannot collect payment

If a payment fails, we or our payment provider may contact you and ask you to update your payment method.

11.2 Payment retries

We may make further reasonable attempts tocollect an outstanding payment using the payment method associated with the subscription.

11.3 Grace period and ending paid access

We may allow paid access to continue for a limited period while payment is retried. If payment remains unsuccessful, we may suspend paid functionality or allow the subscription to end, subject to any notice required by applicable law.

11.4 Incorrect charges

If you believe you have been charged incorrectly, contact support@surgease.co.uk. This does not affect any rightsyou have through your payment provider or under applicable law.

12. Refunds and statutory remedies
12.1 General policy

Except where these Subscription Terms or applicable law provide otherwise, we do not generally refund subscription fees simply because you stop using Mentor or change your mind after the applicable withdrawal period has expired.

Ordinary cancellation prevents future renewal rather than generating a refund for the remaining part of a current paid billing period.

12.2 Statutory refunds and remedies

We will provide any refund, price reduction, restoration of conformity, termination right or other remedy required by EU law or the law of your Member State. This includes rights arising from a valid withdrawal, failure to supply, lack of conformity, an unlawful charge or a modification that gives you a statutory termination right.

13. Changes to prices, Mentor and these terms
13.1 Price changes

We may change subscription prices for future billing periods where permitted by applicable law. A price increase will not apply retrospectively to a billing period already paid for.

If we increase the price applying to your existing subscription, we will give you at least 30 days' advance notice, or any longer notice required by the law of your Member State, before charging the increased price. The notice will state the existing price, new price, effective date and how to cancel before it applies.

13.2 Other prices and promotions

We may offer different plans, promotional prices, introductory offers, discounts or lawful regional prices to other customers. The availability of another offer does not automatically change your existing subscription. Nothing in this clause permits discrimination prohibitedby applicable EU law.

13.3 Modifications needed to maintain conformity

We may make updates or modifications necessary to maintain Mentor's conformity, security, functionality or legal compliance. Those changes may include bug fixes, security changes and technical updates.

13.4 Other modifications to Mentor

Because Mentor is supplied over time, we may also modify it beyond what is strictly necessary to maintain conformity where the contract permits the modification for a valid reason, including adapting to a new technical environment, increased user numbers, changes in third-party dependencies, important operational needs, product improvement, security, or legal and regulatory developments.

Any such modification will be made without additional cost to you solely because of that modification. We will inform you clearly about the modification.

If a modification negatively affects your access to or use of Mentor in more than a minor way, we will give you the information required by applicable law on a durable medium and, where EU law provides, you may terminate the affected subscription free of charge within 30days from receiving that information or from the modification taking effect, whichever is later. That termination right may not apply where we allow you to keep the unmodified service at no additional cost and it remains in conformity.

13.5 Discontinuing a paid plan or Mentor

If we permanently discontinue the paid Mentor service or your paid plan during a prepaid period and do not make available a substantially similar replacement for the remainder of that period, we will provide the notice, termination right, refund or other remedy required by applicable EU and national consumer law. Where no more specific mandatory rule applies, we will provide a proportionate refund for the unused prepaid period unless the subscription ends because of your breach or non-payment.

13.6 Changes to these Subscription Terms

We may update these Subscription Terms where reasonably necessary because of changes in law or regulation, subscription or payment processes, security requirements, changes to Mentor, or a need to make the terms clearer.

If a change materially disadvantages you, we will normally give you at least 30 days' advance notice by email, through Mentor, or both. The notice will explain the change and when it will take effect.

Where applicable law requires your express consent to a change, the change will not bind you unless the required consent is obtained. Where applicable law gives you a right to cancel or another remedy because of a change, the notice will explain how to exercise that right.

We will not retrospectively remove a right or entitlement that you have already accrued.

14. Complaints, customer support and ADR

If you have a question or complaint concerning your subscription, billing, renewal, cancellation, withdrawal, refund or these Subscription Terms, contact us at support@surgease.co.uk.

Please provide enough information for us to identify your account and investigate the issue. We will investigate complaints fairly and respond within a reasonable period.

Where the law of your Member State requires us to use, participate in, identify or provide information about an alternative dispute-resolution body, we will provide the relevant details. Where we voluntarily agree to use an ADR body, we will tell you which body applies.

The former European Commission Online Dispute Resolution (ODR) platform is no longer available. This does not affect any national ADR rights or your right to bring proceedings before a competent court.

15. Governing law and courts
15.1 Governing law

These Subscription Terms are governed by the laws of England and Wales. However, if you are a consumer habitually resident in an EU Member State and we direct our activities to that Member State, this choice of law does not deprive you of mandatory consumer protections that would apply under the law of your habitual residence.

15.2 Courts

You may bring proceedings in any court that applicable EU or national consumer law entitles you to use, including, where the relevant EU jurisdiction rules apply, the courts for the place where you are domiciled.

We will bring proceedings against you only in a court permitted by applicable consumer jurisdiction rules. Nothing in these Subscription Terms requires you to give up a mandatory right to use the courts of your Member State.

15.3 Local mandatory law

Where a provision of these Subscription Terms conflicts with a mandatory consumer right applying in your Member State, that mandatory right takes priority to the extent of the conflict.

16. Other terms
16.1 Transfer by us

We may transfer our rights and obligations under your subscription contract to another organisation, for example as part of a sale or reorganisation of our business, provided this does not reduce your statutory or contractual rights. We will give notice where required by law.

16.2 Transfer by you

Your individual subscription is personal to you and may not be transferred to another person unless we agree otherwise.

16.3 Severability

If a court or competent authority determines that part of these Subscription Terms is unlawful, unfair or unenforceable, that part will not bind you to the extent required by law and the remaining provisions will continue to apply where legally possible.

16.4 Delay in enforcement

If we do not immediately enforce a contractual right, that does not mean we permanently give up that right.

16.5 Third-party rights

Except where applicable law provides otherwise, a person who is not a party to your subscription contract has no independent right to enforce these Subscription Terms.

Part C - Subscription Terms forConsumers in the US

Applies where the territory of purchase is the United States. Mandatory federal, state and local consumer protections continue to apply.

These Subscription Terms explain the terms that apply when you buy a paid subscription to Mentor as a consumer in the United States.

They form a contract between you and SurgEase Innovations Limited, a company registered in England and Wales under company number 10051324, with registered office at Burlington House, 1-13 York Road, Maidenhead, Berks, SL61SQ, United Kingdom ("we", "us" or "our").

For contractual allocation under the Mentor Master Consumer Subscription Terms, these US Subscription Terms apply where the territory of purchase is the United States and you purchase Mentor primarily for personal, family or household purposes. Mandatory federal, state or local consumer rights that apply to you are not excluded.

We will send you a confirmation or acknowledgment that you can save or print.

1. Your subscription
1.1 Your plan

A Mentor subscription gives you access to the paid features, functionality and storage allowance included in the plan you select for as long as your subscription remains active.

Before you subscribe, we will clearly disclose the material terms of your subscription, including:

· the plan you are buying and its main features;

· its storage allowance;

· the subscription price and billing frequency;

· whether a free or discounted trial applies and how long it lasts;

· when your first payment will be taken;

· that the subscription renews automatically unless you cancel;

· the length of each renewalperiod; and

· how to cancel and any deadline for avoiding the next recurring charge.

The rules governing account sharing and authorized access are set out in our Terms of Use.

Inviting another person to participate through Mentor's authorized assessment, review, viewing or collaboration functionality does not amount to sharing your subscription.

1.4 Changing your plan

Where Mentor allows you to change between subscription plans, we will show you the new plan, price, key features and effective date before you confirm the change. An upgrade may take effect immediately and a downgrade may take effect at the next renewal, or at another time clearly disclosed to you. Any prorated charge, credit or billing-cycle change will be disclosed before confirmation.

2. United States subscription and international use
2.1 Country of sign-up

This US version of the Subscription Terms applies where you subscribe as a United States consumer. Your subscription is associated with the United States and with the state and billing location that you provide to us.

Your subscription should be used primarily in the United States. Temporary travel outside the United States does not by itself breach these Subscription Terms, provided Mentor is lawfully available in the country or territory you are visiting.

2.2 Moving outside the United States

If you permanently move outside the United States or begin using Mentor predominantly from another country, you may need to update your country, billing details or subscription and different subscription terms may apply.

Plans, prices, currencies, taxes, payment methods and features may differ between countries. Where reasonably necessary, we may require you to cancel your US subscription and subscribe again under the terms available in your new country.

2.3 Location information

You must provide accurate information concerning your country, state of residence and billing location. You must not deliberately misrepresent your location to obtain pricing, tax treatment, promotional eligibility or a subscription that is not available to you.

3. Free trials, introductory offers and promotions
3.1 Trial information

We may offer free trials, discounted introductory periods or other promotional subscriptions. Before you enroll, we will disclose the material terms, including the duration of the offer, what you will pay during it, the price and billing frequency that will apply afterward, when the first charge will occur, and how to cancel before a charge becomes due.

3.2 Payment method

We may require a valid payment method when a trial starts even if no payment is immediately due. Unless otherwise stated at checkout, we will not charge the standard subscription price during a free trial.

3.3 Automatic conversion to a paid subscription

Unless you cancel before the trial or introductory period ends, your subscription will automatically continue as a paid subscription and we will charge the payment method on file at the price and frequency disclosed when you enrolled. The subscription will then continue to renew until cancelled.

3.4 Trial and promotional reminders

We will provide any reminder or conversion notice required by applicable federal, state or local law. The timing and content of those notices may vary depending on your state, the length of the trial or promotional period and the subscription you selected.

3.5 No general US 14-day cooling-off period

United States law does not provide a universal 14-day cooling-off period for ordinary online software subscriptions. Unless a specific federal, state or local law gives you an additional cancellation right, cancelling a subscription ordinarily stops future renewal rather than creating a right to are fund for a billing period that has already begun.

Nothing in these Subscription Terms limits any cancellation, refund or rescission right that applicable law gives you.

3.6 Eligibility and promotions

We may limit trials, promotional prices or other offers to customers who satisfy stated eligibility conditions. Offers may be subject to availability periods, state or country restrictions, particular plans or billing periods, and restrictions on combining promotions. Material conditions will be disclosed before you accept the offer.

Unless stated otherwise, promotional benefits cannot be exchanged for cash. When a promotional price ends, your subscription will continue at the price disclosed to you when you accepted the offer unless you cancel before that price becomes payable.

4. Price, taxes and currency
4.1 Price and mandatory charges

The subscription price and billing period will be clearly displayed before you place your order. The amount shown at checkout will include any mandatory charges that we are required to disclose and can reasonably calculate at that stage.

4.2 Sales and similar taxes

You are responsible for applicable sales, use, excise and similar taxes imposed on your purchase, except taxes based on our net income. Where we are required to collect tax, it will be added to or included in the amount shown at checkout as required by applicable law.

If tax depends on your state, local jurisdiction or billing information, the amount shown may be updated after you provide that information but before you confirm the order.

4.3 Currency

For US subscriptions, prices will normally be shown and charged in US dollars unless a different currency is clearly disclosed before purchase. Your bank, card issuer or payment provider may impose its own currency-conversion or transaction charges, which we do not control.

5. Payment
5.1 Payment provider

Subscription payments may be processed on our behalf by Stripe or by another payment service provider selected by us from time to time. We may appoint, replace or change our payment service provider at any time, without needing your consent, for operational, commercial, technical, security or other legitimate business reasons.

A change of payment provider will not by itself increase your subscription price or reduce any rights you have under applicable law. If a change requires you to provide or re-enter payment details, authenticate a payment method or take another reasonable step so that recurring payments can continue, we will tell you what you need to do.

We do not normally receive or store your full payment-card number. We may receive limited information such as the payment method type, expiration information, the final digits of a card and payment-provider transaction references.

5.2 Authorization to charge

By providing a payment method and affirmatively agreeing to the subscription offer, you represent that you are authorized to use that payment method and authorize us and our payment provider to charge it for your initial subscription payment, recurring renewal payments, applicable taxes, and any other amount you expressly agree to pay.

5.3 Keeping payment information current

You are responsible for keeping your payment information reasonably up to date. If your payment method expires, is declined or otherwise becomes unavailable, we or our payment provider may ask you to update it. Payment networks or issuers may also provide updated card credentials to our payment provider where their rules permit. Failed payments are dealt with under section 10.

5.4 Purchases through third parties

If we make Mentor available through an appstore, reseller or other third-party seller or billing platform and you purchase through that third party, the third party may be responsible for collecting payment and may control billing administration, renewal, cancellation and refunds under its terms. Where this applies, the purchase flow will identify the relevant third party. These Subscription Terms continue to govern your Mentor subscription except to the extent that the third party's terms necessarily govern billing or applicable law provides otherwise.

6. Automatic renewal
6.1 Clear disclosure and affirmative consent

Before enrolling you in an automatically renewing subscription, we will clearly and conspicuously disclose the material renewal terms and obtain your affirmative consent to the recurring subscription.

Those disclosures will include, as applicable:

· that the subscription continues or renews automatically until cancelled;

· the recurring price or charge and how often it will be charged;

· the length of the initial and renewal terms;

· the date or frequency by which you must cancel to avoid the next charge;

· the cancellation method;

· any minimum purchase commitment; and

· the material terms of any free or discounted trial that will convert to a paid subscription.

After enrolment, we will provide an acknowledgment or confirmation that includes the material subscription and cancellation information in a form you can keep.

6.2 Your subscription automatically renews

Mentor subscriptions automatically renew unless you cancel them. At the end of each billing period, your subscription will renew for another billing period and the payment method associated with your subscription will be charged.

For example, a monthly plan normally renews each month and an annual plan normally renews each year. Your billing frequency will be disclosed before you subscribe.

6.3 Renewal price

Unless we have notified you of a price change under section 11, the amount charged at renewal will be the subscription price applicable immediately before that renewal. We will not increase the price of a billing period that has already been paid for.

6.4 Renewal and annual reminder notices

We will provide renewal, annual reminder and other recurring-subscription notices when and within the time period required by applicable federal, state or local law. The required timing may differ by state and by the length of your subscription.

Where a law requires a pre-renewal notice, the notice will include the information required by that law, which may include the renewal date, renewal term, amount or range of charges, frequency of charges and instructions for cancellation.

6.5 Preventing renewal

You can prevent the next renewal by cancelling before the applicable renewal or charge occurs. If applicable law specifies a cancellation deadline, we will disclose that deadline in the relevant subscription information or notice.

7. Canceling your subscription
7.1 You can cancel automatic renewal at any time

You may turn off automatic renewal at any time. You can normally cancel online through My Account > Subscription > Manage billing, or through the equivalent subscription-management facility available in Mentor.

If the online facility is unavailable, contact support@surgease.co.uk. Where applicable law requires an additional cancellation method, we will provide it.

7.2 Simple online cancellation

If you enrolled online, we will provide an online cancellation method as required by applicable law. We will not deliberately impose unnecessary steps that obstruct or unreasonably delay cancellation.

Where a state requires cancellation through the same medium used to enrol or another specified method, we will make that method available to customers protected by that law.

7.3 When cancellation takes effect

Unless applicable law gives you a right to terminate immediately or we expressly agree otherwise, ordinary cancellation takes effect at the end of your current paid billing period. Until then, your paid subscription remains active and you will not be charged for another billing period after cancellation takes effect.

7.4 Cancellation confirmation

We will provide confirmation after a cancellation is successfully submitted. The confirmation will state when your paid subscription is due to end or otherwise confirm that recurring charges have been stopped.

7.5 Deleting your account

If you request permanent deletion of the Mentor account associated with an active subscription, we will ensure that future subscription renewals are cancelled as part of the account-deletion process. Account deletion does not itself create a right to a refund for a billing period already paid for unless applicable law provides otherwise.

8. Refunds and consumer rights
8.1 General refund policy

Except where these Subscription Terms, a specific offer or applicable law provide otherwise, subscription fees already paid are non-refundable. Cancelling ordinarily prevents future renewal rather than generating a refund or credit for unused time in the current billing period.

8.2 When a refund or other remedy may be available

We will provide a refund, credit, cancellation right or other remedy where required by applicable law. This may include circumstances where:

· we charge you after a cancellation should have taken effect;

· we terminate a prepaid subscription for reasons that are not your fault;

· a material change gives you are fund or termination right under applicable law;

· a state law provides a specific subscription cancellation or refund right; or

· another legally required remedy applies.

8.3 State and federal consumer rights

Consumer-protection laws vary across the United States. Nothing in these Subscription Terms waives a right or remedy that cannot lawfully be waived under applicable federal, state or local law.

9. What happens when your subscription ends
9.1 Paid functionality

When your paid subscription ends, your entitlement to the paid features associated with that plan ends. Your account may move to a free level of service if one is available, and you may continue to have access to functionality we offer without payment.

9.2 Restrictions after subscription expiry

Once your paid subscription ends, you may lose the ability to:

· upload new content;

· create or edit subscription-only content;

· use paid storage;

9.4 Exporting content

Where an export facility is available, we recommend exporting content you wish to retain before your subscription ends.

Our handling of personal information is described in our Privacy Policy.

10. Failed payments
10.1 Failed payment and retries

If a payment fails, we or our payment provider may contact you and ask you to update your payment method. We may make further reasonable attempts to collect an outstanding payment using the payment method associated with the subscription.

10.2 Access while payment is unresolved

We may allow paid access to continue for a limited grace period while payment is retried. Any grace period does not waive our right to collect an amount properly due.

10.3 Ending paid access

If payment remains unsuccessful, we may suspend paid functionality or allow the subscription to end, subject to any notice required by applicable law. If the subscription ends, section 9 applies.

10.4 Incorrect charges

If you believe you have been charged incorrectly, contact support@surgease.co.uk. This does not affect rights you may have through your payment provider or under applicable law.

11. Changes to prices, plans and these Subscription Terms
11.1 Price changes

We may change subscription prices for future billing periods. A price increase will not apply retroactively to a billing period already paid for.

11.2 Notice of price changes

Before a price increase applies to an existing automatically renewing subscription, we will give you the advance notice required by applicable law. Where no specific notice period applies, we will normally give at least 30 days' advance notice.

The notice will identify the new price, when it will take effect and how to cancel before the increased price is charged. If a state law requires notice within a particular window or additional consent, we will follow that requirement for customers protected by that law.

11.3 Other prices and promotions

We may offer different plans, promotional prices, introductory offers, discounts or regional prices to other customers. The availability of another offer does not automatically change the price of your existing subscription.

11.4 Material changes to a paid plan

Mentor will develop over time. We may make reasonable changes to subscription functionality to improve Mentor, update technology, respond to legal requirements, maintain security, replace outdated functionality or introduce equivalent or improved functionality.

We will not use this provision as an unrestricted right to remove a core paid feature that formed a material part of the subscription you purchased. If a material detrimental change gives you a notice, cancellation, refund or other right under applicable law, we will provide that right.

11.5 Discontinuing a paid plan or Mentor

If we permanently discontinue the paid Mentor service or your paid plan during a prepaid period and do not make available a substantially similar replacement for the remainder of that period, we will provide a proportionate refund for the unused prepaid period unless the subscription ends because of your breach, non-payment or another reason for which a refund is not required by applicable law.

11.6 Changes to these Subscription Terms

We may update these Subscription Terms where reasonably necessary because of changes in law or regulation, changes to subscription or payment processes, security requirements, changes to Mentor, changes to our business operations, or a need to make these terms clearer.

If a change materially disadvantages you, we will normally give you at least 30 days' advance notice by email, through Mentor, or both. The notice will explain the change and when it takes effect.

Advance notice may not be practicable where an immediate change is reasonably necessary to comply with law, address an urgent security issue, prevent fraud or abuse, or respond to another urgent situation.

We will not apply a change retroactively to remove a right or entitlement that you have already accrued. If applicable law requires affirmative consent, a right to cancel or another remedy because of a change, we will provide it.

12. US automatic-renewal and state-law protections
12.1 Federal requirements

For online automatically renewing subscriptions, we will comply with applicable federal law governing negative-option and recurring-payment offers, including requirements concerning clear disclosure of material terms, informed consent to recurring charges and a simple mechanism to stop recurring charges.

12.2 State automatic-renewal laws

A number of states impose additional requirements on automatically renewing subscriptions, including requirements concerning the timing and presentation of disclosures, affirmative consent, post-purchase acknowledgments, renewal or annual reminder notices, free-trial conversion notices, price-change notices and methods of cancellation.

We will provide the additional disclosures, notices, cancellation methods and other rights required by the law that applies to you. Because these requirements differ by state, the timing or form of a notice you receive may differ from that received by a customer in another state.

12.3 Greater state rights control

If the law of your state gives you a greater or more specific right than these Subscription Terms, that right applies to you to the extent required by law. Nothing in these Subscription Terms is intended to reduce a non-waivable state consumer-protection right.

13. Electronic subscription notices

We may send subscription-related notices to the email address associated with your Mentor account, display them within Mentor, or use another communication method permitted by applicable law. Notices may include trial-conversion reminders, renewal reminders, price-change notices, changes to these Subscription Terms and cancellation confirmations.

You should keep your contact information reasonably up to date so that you can receive subscription notices. Where applicable law requires a particular communication method, we will use that method.

14. Complaints and customer support

If you have a question or complaint concerning your subscription, billing, renewal, cancellation, a refund or these Subscription Terms, contact support@surgease.co.uk.

Please provide enough information for us to identify your account and investigate the issue. We will investigate complaints fairly and provide any complaint or dispute process required by applicable law.

15. Governing law and courts
15.1 Governing law

These Subscription Terms are governed by the laws of England and Wales, except that this choice of law does not deprive you of any mandatory protection available to you under applicable United States federal law or the law of the US state in which you reside.

15.2 Courts and jurisdiction

Nothing in these Subscription Terms requires a US consumer to bring a claim exclusively in England and Wales where applicable law gives that consumer the right to bring a claim in another court. You and we may bring proceedings in any court that has jurisdiction under applicable law.

15.3 No mandatory arbitration in these Subscription Terms

These Subscription Terms do not require individual arbitration or waive your right to participate in a class action. If we later propose a dispute-resolution provision of that kind, it will only apply to you if it is introduced and agreed in a manner permitted by applicable law.

16. Other terms
16.1 Transfer by us

We may transfer our rights and obligations under your subscription contract to another organization, for example as part of a sale, financing or reorganization of our business. We will provide any notice required by applicable law and a transfer will not reduce rights that cannot lawfully be reduced.

16.2 Transfer by you

Your individual subscription is personal to you and may not be transferred to another person unless we agree otherwise.

16.3 Severability

If a court or other authority determines that part of these Subscription Terms is unlawful or unenforceable, that provision will been forced to the maximum extent permitted by law and the remaining provisions will continue to apply.

16.4 Delay in enforcement

If we do not immediately enforce a contractual right, that does not mean we permanently give up that right.

16.5 No third-party beneficiaries

Except where these Subscription Terms expressly state otherwise or applicable law provides otherwise, these Subscription Terms do not create rights for a person who is not a party to your subscription contract.
